The role:

As the Director of Corporate Governance and Investor Relations, you will combine advanced legal advice with business strategic decisions. Your main tasks are to ensure regulatory compliance, optimize operations, and drive business growth. We are a company owned by our greatest asset: our employees Therefore, the responsibility for the relationship with our investors is largely an internal function. You will be located at our head office in Gothenburg, but you will work with our entire business worldwide. Therefore, we value previous international experience highly. You will work closely with the company's management to ensure that you can best align the legal strategies with the business goals.

Key responsibilities:

  • Control and improve legal and regulatory processes and frameworks at CellMark and its subsidiaries globally.
  • Monitoring changes in laws and regulations that affect our industry.
  • Strategic legal advice on matters related to investors in, including compliance with local and international regulations.
  • Lead different types of negotiations and manage relationships with external advisors.
  • Improve, develop and implement corporate governance policies and procedures.
  • Steer the work with the preparation of annual reports and other mandatory reports to ensure regulatory compliance with regulatory requirements.
  • Communicate financial performance, strategic direction and operational performance to shareholders and investors.
  • Respond to investor inquiries and communicate key messages consistently and transparently.
  • Manage the process of dividends, share purchases, and sales, as well as ensure that all shareholder records are accurate and executed in accordance with company policies.
  • Develop and implement strategies to engage and educate the ownership.

Who are you?

You have a law or economics degree and at least five years of experience working with corporate governance and/or managing the relationship with investors. You are passionate about the work with corporate governance issues and constantly strive to improve yourself and the company in the area. CellMark's operations span virtually the entire world. It is therefore important that you have experience of working internationally. If you have worked with the United States, it is particularly meritorious.

To fit into the role, we believe that you have the ability to convey complex advice in an easy-to-understand and useful way. Furthermore, you are both business-minded and analytical and can handle problem solving very well. You enjoy multitasking, are a good negotiator and are driven by leading and managing a team or project under sometimes time-pressed conditions. You are also communicative and express yourself very well both orally and in writing. Very good knowledge of English and Swedish is a requirement; other languages are an advantage.
