As General Counsel, you will be the cornerstone of our legal framework, driving internal processes, compliance, governance, and strategic decision-making. Reporting directly to the CFO, you’ll navigate the complexities of a public company while enabling scalability for our global ambitions. You will lead a team of three legal counsels specializing in different areas (e.g., commercial and data privacy).

Key Responsibilities

- SaaS Legal Expertise

- Manage legal processes, from internal reviews to external partnerships, tailored for the SaaS landscape.

- Oversee customer and vendor contracts, including public-facing terms and conditions.

- Corporate Governance

- Lead corporate governance processes, including policy development and compliance with Euroclear requirements.

- Manage Annual and Extraordinary General Meetings, adhering to listed public company regulations.

- Compliance and Risk Management

- Own internal control and risk management frameworks, including committee involvement (Risk Committee, Enterprise Forum).

- Incentive Programs, Share Transactions, and Shareholder Communication

- Design and manage cross-border incentive programs and cap tables.

- Handle shareholder relations and board documentation, including inaugural meetings and incentive program allocations.

- Manage the legal side of share transactions.

- Lead legal workstreams in projects related to raising capital (if deemed needed).

- Safeguard our intellectual property, including brand assets and potential patents.

- Employment Law

- Work closely with the People & Culture department in employment law-related matters.

- Oversee employment-related legal matters and contract templates.

- Scalability and Efficiency

- Develop scalable legal operations, ensuring processes align with business growth.

- Build for the long term.

Professional Experience and Qualifications

- Law degree with 10+ years of experience in corporate law.
- Experience from working in a B2B SaaS company.
- Strong leadership skills and experience leading a team, preferably in a high-growth or tech environment.
- English is our corporate language, so a high level of English proficiency is required.

A bonus if you have experience within:

- Public company governance, including Euroclear-registered entities.
- M&A.
